Marketing Rights.
Agent grants SDT a non-exclusive, royalty-free license to use Agent-supplied imagery, name, likeness, and related promotional materials on SDT’s website, printed collateral, and in-store signage to market the city sponsorship and associated promotional campaign.
First Right of Refusal.
If the listing is offered to Agent at no charge and SDT receives a bona fide paid offer from a third party for the same listing placement or promotional space, SDT must notify the Agent in writing of the offer. Agent has 5 business days to match the material terms before entering into an agreement with the third party.
